GFL files registration statement and preliminary prospectus for initial public offering

GFL Environmental Inc. (together with GFL Environmental Holdings Inc., "GFL") announced last week the filing of a registration statement on Form F-1 with the U.S. Securities and Exchange Commission ("SEC") and a preliminary base PREP prospectus with the securities regulatory authorities in each of the provinces and territories of Canada ("Canadian Regulators") for a proposed initial public offering ("IPO") of subordinate voting shares concurrently in the United States and Canada. The number of shares to be offered and the price range for the IPO have not yet been determined.

GFL Environmental and Waste Industries announce merger

GFL Environmental Inc. ("GFL") based out of Toronto, and Raleigh, North Carolina-based Waste Industries have announced that they have entered into a definitive merger agreement in a transaction that values Waste Industries at a total enterprise value of US$2.825 billion (approximately C$3.65 billion). The transaction, which is expected to close in the fourth quarter of 2018, is subject to customary regulatory approvals.

GFL Environmental Inc. has announced it has entered into an agreement to recapitalize GFL Environmental Holdings Inc. with investors led by BC Partners, including Ontario Teachers' Pension Plan, and others. The transaction implies a total GFL enterprise value of approximately $5.125 billion, making GFL one of the largest environmental services companies in North America. 

GFL Acquires Smithrite Disposal and Carney's Waste Systems

GFLEnvironmental Inc. has  announced closing of the acquisition of Smithrite Disposal and Carney's Waste Systems. Smithrite and Carney's are the premier independent solid waste service providers in British Columbia, providing solid waste, recyclable and organic food waste collection, hauling, processing and management services to municipal, commercial and industrial customers in the lower mainland, Fraser Valley, B.C. Interior and "Sea to Sky Corridor" in British Columbia. The acquisition will complement and extend GFL's existing solid and liquid waste operations in British Columbia. Gordon Smith, the son of the original founders of Smithrite Disposal, Ascher and Irene Smith, will remain with GFL working to integrate and continue to build the combined business.

GFL acquires Accuworx Canadian operations

GFL Environmental Inc. ("GFL") has closed the acquisition of the Canadian operations of Accuworx Inc. including Sure Horizon Environmental Inc., based in Brampton, Ontario. Since its founding in 1989 by Jason Rosset, Accuworx has grown to be a leading provider of "cradle to cradle" environmental solutions for a broad base of liquid waste customers throughout Ontario. Accuworx's services include industrial cleaning, emergency response, soil and groundwater remediation and liquid waste management, which will complement and extend the service offerings of GFL's existing liquid waste business in Ontario. Jason Rosset will remain with GFL working to further develop the customer base of our combined operations.
